These Terms & Conditions ("Terms") govern your use of xpandifi.com and of any services provided by XPANDIFI INDIA PRIVATE LIMITED. Please read them carefully before using our website or services.

1. Definitions

• "Xpandifi", "we", "us", "our" – XPANDIFI INDIA PRIVATE LIMITED.
• "User", "you", "your" – any person or business that visits the website or uses the Services.
• "Services" – the Xpandifi website, platform and managed services, including marketplace onboarding, listing management, logistics, compliance support and related services.
• "Account" – a registered user profile with Xpandifi.
• "Engagement" – a separate agreement, proposal or order confirmation that sets out the scope, fees and service levels for the Services you buy from us.

2. Acceptance of Terms

By visiting the website, contacting us or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please stop using the website and Services. Where an Engagement conflicts with these Terms, the Engagement takes precedence.

3. Eligibility and Account

• You must be at least 18 years old and legally able to enter into a binding contract.
• You must provide accurate, complete and up-to-date information, and keep it updated.
• You are responsible for keeping your login credentials confidential and for all activity under your Account.

4. Use of the website and Services

• We grant you a limited, revocable, non-exclusive and non-transferable right to use the website and Services for your own business purposes.
• You must not copy, reverse engineer, resell or sublicense any part of the Services, attempt to gain unauthorised access to them, interfere with their operation, or use them for any unlawful purpose.
• You are responsible for ensuring that the products you ask us to list or ship comply with the laws of India and of each destination country, and with the policies of each marketplace.

5. Communications, including WhatsApp

By sharing your phone number with us or messaging us at +91 72088 65893, you agree that we may contact you by phone, SMS, email or WhatsApp about your enquiry, Account, orders and the Services. Promotional messages are sent only with your consent. You can opt out of WhatsApp messages at any time by replying "STOP" or by contacting us. WhatsApp messaging is also subject to WhatsApp's own terms of service.

6. Third-party marketplaces and services

The Services involve third-party marketplaces, logistics providers and platforms such as Amazon, eBay and others. We are not responsible for their policies, fees, decisions or availability, and your use of them is subject to their own terms.

7. Fees and payment

• Fees for the Services are set out in your Engagement and agreed before work begins.
• All fees exclude applicable taxes, including GST, which are charged in addition.
• Unless your Engagement says otherwise, invoices are payable in full by their due date.
• Non-payment may result in suspension or termination of the Services.

8. Data and ownership

• You keep ownership of your business, product, customer and order data, and you grant us the right to use it to deliver the Services.
• We may use anonymised and aggregated data, which does not identify you, to improve the Services.
• We may share data with government, tax or regulatory authorities where we are required to do so by law.

9. Intellectual property

All content on the website and all intellectual property in the Services, including text, graphics, logos and software, belong to Xpandifi or its licensors. You may not use our name, trademarks or branding, or copy, reproduce or distribute our content, without our prior written permission.

10. Availability and support

• We aim to keep the website and Services available, but do not guarantee uninterrupted access.
• They may be temporarily unavailable for maintenance, upgrades or reasons outside our control.
• Support levels are as set out in your Engagement.

11. Termination and suspension

• Either party may end an Engagement in accordance with its terms, or for a material breach by the other party that is not remedied within a reasonable cure period.
• We may suspend or terminate your access immediately in cases of fraud, misuse, security risk, non-payment or where required by law.
• Termination does not affect fees already due. After termination we may retain records that we are required by law to keep.

12. Disclaimers

The website and Services are provided "as is" and "as available", without warranties of any kind. We do not guarantee any particular sales, revenue or marketplace outcome, or that the Services will be uninterrupted or error-free.

13. Limitation of liability

To the maximum extent permitted by law, Xpandifi is not liable for any indirect, incidental or consequential loss arising from your use of the website or Services. Our total liability in connection with any service is limited to the fees you paid us for that service in the three months before the claim arose.

14. Indemnity

You agree to indemnify Xpandifi against claims, losses and expenses arising from your misuse of the website or Services, your breach of these Terms, the products you sell, or inaccurate information you provide to us.

15. Changes to these Terms

We may update these Terms from time to time. The latest version will always be available on this page, and continued use of the website or Services after a change means you accept the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Navi Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising from them.

17. Miscellaneous

• Severability: if any provision is found invalid, the rest of these Terms remain in effect.
• Entire agreement: these Terms, the Privacy Policy and any Engagement together form the entire agreement between you and us.
• Waiver: our not enforcing a right does not waive it.
• Assignment: you may not assign your rights under these Terms without our consent; we may assign ours.
